Welcome to Sulushun (the “Site,” “we,” “our,” or “us”). These Terms and Conditions (the “Agreement”) govern your access to and use of our website, mobile applications, and services (the “Services”). By accessing or using the Site, you agree to comply with these Terms and Conditions. If you do not agree with these terms, please do not use our Services.

These Terms and Conditions apply to both Consumers (Users) and Service Providers, and are designed to address the rights, responsibilities, and expectations of both groups. Please review the applicable sections for your user type.

1. Acceptance of Terms

By accessing or using the Site and Services, you agree to be bound by this Agreement and any applicable laws and regulations. You also agree to abide by our Privacy Policy, which is incorporated into this Agreement by reference.

If you are a Service Provider, by accepting this Agreement, you also agree to be bound by additional terms specific to Service Providers, including but not limited to, payment processing, Service Provider conduct, and disputes.

If you are a Consumer (User), by accepting this Agreement, you agree to be bound by the terms that apply to the use of our platform for service requests, communications with Service Providers, and payment for services.

2. Modifications to the Terms

We reserve the right to modify, update, or revise these Terms and Conditions at any time. Any changes will be effective immediately upon posting on the Site. Your continued use of the Site after such changes will constitute acceptance of the modified terms. It is your responsibility to review these Terms regularly to stay informed of any changes.

3. Eligibility

Consumers (Users): You must be at least 18 years old to use the Services and request services from Service Providers.
Service Providers: You must be at least 18 years old, have the legal right to provide services in your jurisdiction, and agree to comply with any applicable licensing or regulatory requirements.

By agreeing to these Terms, you represent and warrant that you meet the eligibility requirements for your role (either as a Consumer or Service Provider).

4. Services Offered

Sulushun provides a platform that connects Consumers (Users) with Service Providers. The Services may include, but are not limited to:

Consumers: Search and request services, schedule appointments, communicate with Service Providers, leave reviews, and make payments for services.
Service Providers: Create a profile, list services offered, bid or accept service requests from Consumers, manage bookings, and receive payments for completed services.

We are not responsible for the actions, services, or quality of work provided by Service Providers. We simply facilitate the connection between Consumers and Service Providers.

5. User Accounts

To access certain features of the Site, you may be required to create a user account. Depending on your role, the following applies:

Consumers: You will need to create an account to request services, communicate with Service Providers, and make payments. You agree to provide accurate, current, and complete information during registration.
Service Providers: You must create a profile to offer services on the Site. This may include providing business details, service offerings, and any required certifications or licenses. You agree to keep your information updated and accurate.

You are responsible for maintaining the confidentiality of your account credentials and restricting access to your account.

6. Roles and Responsibilities

For Consumers:

Requesting Services: Consumers can browse available Service Providers, request quotes, and schedule services. Consumers must provide accurate information about the services needed and provide any necessary access or materials.
Payment: Consumers agree to pay the full price for the service as agreed upon with the Service Provider. Payments will be processed through third-party payment processors. Consumers are responsible for paying Service Providers in a timely manner.
Reviews and Ratings: After services are completed, Consumers may leave reviews and ratings based on their experience. Reviews must comply with the Site’s content guidelines.

For Service Providers:

Providing Services: Service Providers are responsible for delivering services as promised and in accordance with local regulations. Service Providers must maintain any required licenses, certifications, and insurance to offer services.
Communication: Service Providers agree to respond to Consumer requests in a timely manner and communicate clearly about the services they will provide, including pricing, scope, and availability.
Payments: Service Providers will be paid by the Consumer for the services rendered. We may charge a service fee on each transaction, which will be disclosed to you at the time of payment.
Conduct: Service Providers agree to uphold a professional standard of conduct and provide services that meet the expectations and requirements outlined in their service listing.

7. Payment and Fees

Certain Services on the Site may require payment, including service fees and subscription fees for premium features. The payment terms for each transaction, including any applicable taxes or processing fees, will be clearly displayed to you before completing any payment.

Consumers: Payments for services will be processed via third-party payment processors, and you agree to comply with their terms of service. All fees are non-refundable unless otherwise specified.
Service Providers: You authorize us to deduct applicable fees (e.g., service fees) from the payments you receive through the platform.

8. Content and User-Generated Content

Users of the Site may post reviews, ratings, comments, and other content. You retain ownership of the content you post, but by submitting content, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content in connection with the Services.

You agree that:

You will not submit any content that is defamatory, obscene, offensive, or violates any third-party rights.
We have the right to remove any content at our discretion.
We are not responsible for the content posted by users, including the accuracy of reviews or ratings.

9. Disclaimers

The Site and Services are provided “as is” and “as available.” We do not guarantee the quality or accuracy of the services provided by Service Providers, nor do we guarantee that the Site will be free of errors, interruptions, or security breaches.

We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Indemnification

Both Consumers and Service Providers agree to indemnify, defend, and hold harmless Sulushun, its affiliates, employees, officers, and agents from any and all claims, losses, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from your use of the Site, violation of these Terms, or violation of any third-party rights.

11. Limitation of Liability

To the fullest extent permitted by law, Sulushun and its affiliates, officers, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with this Agreement, your use of the Site, or the Services.

12. Termination

We reserve the right to suspend or terminate your account or access to the Site at any time, without notice, if we believe you have violated these Terms or engaged in harmful conduct. Upon termination, all rights granted to you will cease, and you must promptly discontinue use of the Site.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles. Any disputes arising from or related to this Agreement shall be resolved through binding arbitration in Ontario, conducted in English, and governed by the rules of a recognized arbitration organization. The arbitration shall be conducted in accordance with the rules of the chosen arbitration organization, and the decision of the arbitrator shall be final and binding. The costs of arbitration shall be borne as determined by the arbitrator.

14. Privacy Policy

Your use of the Site is also governed by our Privacy Policy, which can be accessed here. The Privacy Policy explains how we collect, use, and protect your personal information.

15. Miscellaneous

Entire Agreement: This Agreement constitutes the entire understanding between you and Sulushun regarding your use of the Site.
Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver: No waiver of any provision of this Agreement shall be deemed a waiver of any other provision, nor shall any waiver be deemed a continuing waiver.
Assignment: We may assign or transfer our rights and obligations under this Agreement to third parties without notice to you.
